These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Jason Kean Wagner ("I," "me," or "my"), a sole proprietor operating in Findlay, Ohio.

Use of this Site constitutes your acknowledgment that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

Not all services described on this Site are available at all times. Availability, pricing, and scope of services are subject to change. Specific consulting engagements are governed by separate written agreements between you and me.

5. Consulting Services

Consulting engagements described on this Site are subject to separate written agreements (statements of work, consulting agreements, or engagement letters) entered into between you and me prior to the commencement of any work.

These Terms of Service govern your use of this Site and initial inquiries only. The terms of any consulting engagement — including scope, deliverables, fees, payment schedule, confidentiality, and termination — are set forth in a separate written agreement.

No Professional License

Consulting services provided through this Site and related engagements are business operations and AI systems consulting. They do not constitute:

• Legal advice or legal services (I am not a licensed attorney)
• Financial advice, investment advice, or financial planning services (I am not a licensed financial advisor)
• Accounting or tax advice (I am not a licensed CPA or tax professional)
• Medical, psychological, or mental health advice
• Insurance advice or services

For legal, financial, tax, or other licensed professional advice, consult a licensed professional in the appropriate field.

Results Disclaimer

Consulting services and educational content on this Site are based on my experience and best judgment. I cannot guarantee specific business outcomes, revenue increases, cost savings, or AI implementation results. Business outcomes depend on many factors outside my control, including your implementation, market conditions, team execution, and other variables.

6. Payments & Refunds

Payment Processing

Payments for consulting services are processed through Stripe, a third-party payment processor. By making a payment, you agree to Stripe's terms of service and privacy policy. I do not store your credit card or payment information on this Site.

Book purchases are processed through Amazon and are subject to Amazon's terms and conditions.

Consulting Service Fees

Fees for consulting engagements are set forth in the applicable consulting agreement or statement of work. Payment terms, due dates, and late payment provisions are specified in those agreements.

Prices listed on this Site are subject to change without notice. The fee applicable to your engagement is the fee agreed upon in writing at the time of engagement.

Refund Policy

Refund terms for consulting services are specified in your written consulting agreement. As a general policy:

• Discovery calls and initial consultations are provided at no charge and require no refund
• Project-based engagements: refund terms are defined in the project agreement and vary by deliverable milestone
• Monthly retainer agreements: fees are earned at the beginning of each month; unused retainer time within a paid month is not refunded unless otherwise specified in the retainer agreement
• If services cannot be delivered due to my inability to perform, a pro-rated refund will be issued for undelivered services

7. Disclaimers

Specifically, I disclaim all warranties including but not limited to:

• Implied warranties of merchantability or fitness for a particular purpose
• Warranties that the Site will be uninterrupted, error-free, or free of viruses

• Warranties that any specific business result will be achieved through use of content or consulting services

Content on this Site, including blog articles, frameworks, and methodologies, represents my professional opinion based on experience. It is provided for educational and informational purposes. 8. Limitation of Liability

To the fullest extent permitted by applicable law, Jason Kean Wagner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of this Site or any consulting services, even if I have been advised of the possibility of such damages.

My total aggregate liability to you for any claims arising out of or related to this Site or consulting services shall not exceed the greater of: (a) the total fees paid by you to me in the three months preceding the claim, or (b) one hundred dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Jason Kean Wagner from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of this Site in a manner not authorized by these Terms
• Your infringement of any intellectual property or other rights of any person or entity

• Your violation of any applicable law or regulation

10. Third-Party Services

This Site integrates with or links to third-party services including Amazon (book sales), Stripe (payments), LinkedIn, Facebook, Instagram, and scheduling tools. Use of these services is subject to their respective terms of service and privacy policies. I am not responsible for the practices or content of third-party services.

The presence of a link to a third-party website does not imply endorsement of that site, its content, or its operators.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or related to these Terms or your use of this Site shall be brought exclusively in the state or federal courts located in Hancock County, Ohio. You consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

These Terms do not limit any rights you may have under applicable state consumer protection laws that cannot be waived by contract.

12. Dispute Resolution

Informal Resolution

Before initiating any formal dispute process, you agree to contact me at jason@jasonkeanwagner.com to attempt to resolve the dispute informally. I will make good-faith efforts to resolve any dispute within 30 days of receiving written notice.

Mediation

If informal resolution is unsuccessful, the parties agree to attempt mediation through a mutually agreed mediator before pursuing litigation. The costs of mediation shall be shared equally.

Litigation

If mediation is unsuccessful, either party may pursue claims in courts of competent jurisdiction in Hancock County, Ohio, as set forth in Section 11.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

Statute of Limitations

Any claim arising under these Terms must be brought within one (1) year of the date the cause of action accrues, regardless of any longer statute of limitations under applicable law.

13. Changes to These Terms

I reserve the right to modify these Terms at any time. When I make material changes, I will update the "Last Updated" date at the top of this page. Continued use of this Site after any changes constitutes acceptance of the updated Terms.

For significant changes affecting your rights, I will make reasonable efforts to notify you. It is your responsibility to review these Terms periodically.

If you do not agree to the updated Terms, you must stop using this Site.
